1. Introduction and Application

These Terms and Conditions apply to all quotations, estimates, invoices, works, services, job reports and purchase orders issued by or agreed with TCM Contractors LTD (“TCM”, “we”, “us” or “the Company”).

By accepting a quotation, issuing a purchase order, providing written or verbal approval, instructing us to proceed, making payment, or allowing works to commence, the customer agrees to these Terms and Conditions.

If a written contract, scope of works or agreed variation conflicts with these Terms, that written document takes precedence only to the extent of the conflict.

Nothing in these Terms affects any statutory rights that cannot legally be excluded or limited.

2. Definitions

“Customer” or “Client” means the person, company, managing agent, landlord, tenant, property owner or other party instructing TCM Contractors LTD.

“Works” or “Services” means all labour, materials, repairs, maintenance, inspections, reports, surveys, emergency attendance, access arrangements and associated services provided by TCM Contractors LTD.

“Quotation” includes any written quotation, estimate, scope of works, proposal, schedule of rates or cost indication issued by TCM Contractors LTD.

“Variation” means any change, addition, omission, delay, unforeseen item or amended instruction outside the agreed scope of works.

“Practical Completion” means that the agreed scope has been substantially completed and the area has been left safe and reasonably tidy, subject to any minor snagging items.

3. Quotations and Acceptance

All quotations are based on the information, access arrangements and site conditions known at the time they are issued.

Unless stated otherwise, quotations remain valid for 30 days from the issue date. Any acceptance after this period may be subject to a revised price due to material costs, labour availability or market conditions.

A quotation becomes binding when the Customer:

  • issues a purchase order;
  • gives written approval by email or another agreed method;
  • gives verbal instruction to proceed;
  • pays a deposit or invoice; or
  • permits works to commence.

The Customer confirms that they have the authority to instruct the Works and accept responsibility for payment.

4. Scope of Works

TCM Contractors LTD will provide the Works described in the relevant quotation, purchase order or written instruction.

Only labour, materials, access equipment, making-good, disposal, permits, parking and other costs specifically included in the quotation form part of the agreed scope.

Any work not expressly included is excluded and may be treated as a Variation.

5. Estimates, Pricing and VAT

Any estimate, budget cost, provisional sum or indication of price is not a fixed price unless specifically stated otherwise in writing.

All prices are exclusive of VAT unless clearly stated otherwise.

Parking, permits, congestion charges, ULEZ charges, tolls, delivery costs, specialist equipment, waste disposal and access arrangements may be charged in addition unless included in the quotation.

Where the cost of materials, labour, fuel or specialist equipment increases significantly after acceptance but before works commence, we may propose a revised contract price. We will notify the Customer before proceeding with works affected by that increase.

6. Variations and Unforeseen Works

Additional work outside the original scope will be treated as a Variation and may incur an additional charge.

This includes, but is not limited to:

  • hidden defects, damage or deterioration;
  • concealed pipes, cables, services or structural elements;
  • unsafe structures or conditions;
  • additional repairs identified after opening-up works;
  • changes requested by the Customer;
  • changes in access arrangements;
  • additional materials, labour, equipment or visits;
  • delays caused by third parties, weather or site restrictions.

Where reasonably practicable, we will obtain approval before carrying out a Variation.

Where urgent action is needed to make an area safe, prevent further damage, protect property or restore an essential service, TCM Contractors LTD may proceed and charge reasonable costs.

7. Customer Responsibilities, Access and Site Readiness

The Customer must provide safe, clear and uninterrupted access to the site for surveys, works, deliveries and follow-up visits at the agreed date and time.

The Customer is responsible for arranging all necessary permissions, approvals, access and notifications, including those required from tenants, residents, building management, freeholders, neighbours, security staff and other contractors.

The Customer must ensure that:

  • work areas are clear and accessible;
  • vehicles, furniture, stored items and obstructions are removed where needed;
  • relevant utilities are available;
  • keys, fobs, access codes and permits are available;
  • access equipment or scaffolding arranged by the Customer is in place;
  • known hazards, asbestos information and concealed services are disclosed before works begin.

If the site is unavailable, unsafe, not ready, or access is restricted or withdrawn, we may reschedule the Works and charge cancellation, abortive visit or additional attendance costs.

8. Cancellation, Rescheduling and Abortive Visits

The Customer may cancel or reschedule a booked attendance, survey, delivery or works appointment subject to the following conditions:

  • More than 48 hours before commencement: no cancellation charge.
  • Within 48 hours of commencement: 25% cancellation charge.
  • Within 24 hours of commencement: 50% cancellation charge.
  • On or after commencement: up to 100% of the quotation value may be payable.

The above charges may apply where:

  • site access is unavailable at the agreed time;
  • confirmed access is withdrawn;
  • access arrangements are changed with less than 48 hours’ notice;
  • access is refused by tenants, building management, residents or third parties;
  • the Company attends site but cannot carry out the Works due to circumstances within the Customer’s control;
  • the site is unsafe or not ready for works to begin.

Where materials have been purchased, labour allocated, deliveries booked or specialist equipment arranged—including scaffolding, towers, skips, cherry pickers, rope access or specialist contractors—the Customer remains responsible for all non-refundable or committed costs.

If TCM Contractors LTD attends site but cannot carry out the Works due to lack of access, unsafe conditions, incomplete preparatory works, third-party restrictions or another matter outside our control, the attendance may be charged as an abortive visit. Charges may include labour, travel, parking, equipment hire and other associated costs.

Cancellation or rescheduling requests must be sent to info@tcmcontractors.co.uk and are only confirmed once acknowledged by TCM Contractors LTD.

Nothing in this clause affects any statutory cancellation rights a consumer may have.

9. Consumer Cancellation Rights

This section applies only where the Customer is a consumer.

Where the law provides a right to cancel a contract made online, by telephone, in the home or away from our business premises, the Customer may exercise that right in accordance with applicable legislation.

If the Customer asks us to begin services during any applicable cancellation period, the Customer may be responsible for reasonable charges for works, services and materials supplied before cancellation.

Cancellation rights may not apply to emergency repairs, urgent call-outs requested by the Customer, or bespoke and made-to-order goods, where permitted by law.

10. Programme, Weather and Delays

Any start date, completion date or programme is an estimate unless specifically agreed otherwise in writing.

TCM Contractors LTD is not liable for delays caused by factors outside our reasonable control, including:

  • adverse weather;
  • restricted or denied access;
  • delays by other contractors, residents, tenants or building management;
  • material shortages or supplier delays;
  • health and safety concerns;
  • statutory authority requirements;
  • force majeure events or government restrictions.

We may postpone or reschedule works where weather conditions make it unsafe or unsuitable to proceed. Such delays will not be treated as a breach of contract.

11. Parking, Travel and Access Costs

Parking, permits, congestion charges, ULEZ charges, tolls and other access costs are the Customer’s responsibility unless otherwise agreed in writing.

If reasonable parking cannot be obtained close to the site, TCM Contractors LTD may charge additional labour time for transporting materials, tools and equipment.

12. Materials, Delivery and Retention of Title

Materials supplied will be as specified in the quotation where available.

If an exact product, colour, finish, tile, paint, flooring, decking board, timber, component or other item is unavailable or discontinued, we may propose a suitable equivalent or alternative of equal or higher quality where reasonably practicable.

Once materials have been ordered, purchased, manufactured, delivered or cut to size, they may be non-refundable.

Materials delivered or stored on site become the Customer’s responsibility for safekeeping. We are not responsible for theft, loss or damage after delivery, except where caused by our negligence.

All goods and materials supplied remain the property of TCM Contractors LTD until full payment has been received. We reserve the right to recover unpaid goods and materials where legally permitted.

13. Existing Finishes, Making Good and Matching

Unless expressly included in the quotation, works exclude full reinstatement, redecoration of complete rooms, specialist finishes, structural repairs and matching of existing materials.

Local repairs and making-good may remain visible. An exact match to existing colours, textures, tiles, flooring, brickwork, wallpaper, timber, paintwork or other finishes cannot be guaranteed.

Opening-up, investigative and repair works may require disturbance or removal of plaster, tiles, ceilings, flooring, boxing, decorations, joinery, landscaping or other finishes. We will make good only the areas specifically included within the agreed scope.

14. Hidden Services and Pre-Existing Conditions

TCM Contractors LTD is not responsible for damage to hidden or concealed pipes, cables, services or structural elements that were not visible or disclosed before works commenced.

The Customer must inform us of known services, defects, hazards and unusual building conditions before work begins.

We are not responsible for defects, failures or damage caused by pre-existing conditions, building movement, settlement, condensation, moisture, structural defects, third-party workmanship, misuse, neglect or lack of maintenance.

15. Payment Terms

Payment is due in accordance with the payment terms stated on the relevant invoice.

Unless otherwise stated, the payment period begins from the invoice date. Where no payment terms are stated, payment is due upon receipt.

When arranging payment, the Customer must use the relevant Quote Number, Purchase Order Number or Invoice Number as the payment reference.

Payments may be made by bank transfer, cash, cheque or another method agreed in writing.

Invoices may be delivered by email or post. The Customer is responsible for ensuring that accurate billing details are provided.

Accounts enquiries only: payment confirmations, invoices, statements, remittances, credit accounts and account queries should be sent to accounts@tcmcontractors.co.uk.

All other enquiries, including quotations, works, attendance, reports, complaints and general communication, should be sent to info@tcmcontractors.co.uk.

16. Invoice Queries, Snagging and Withholding Payment

Any genuine invoice query or dispute must be raised in writing within 7 days of receipt, clearly identifying the disputed amount and the reason for the dispute.

Undisputed amounts remain payable by the due date.

Minor snagging items, finishing adjustments or non-material defects do not entitle the Customer to withhold payment for completed works. Any minor snagging items notified to us will be addressed within a reasonable period.

Only a reasonable value directly relating to incomplete works may be withheld where legally permitted or agreed in writing. Payment for completed works must not be delayed.

17. Late Payment and Recovery Costs

For commercial customers, where payment is overdue, TCM Contractors LTD reserves the right to claim statutory interest and compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 and associated regulations.

Statutory interest may be charged at 8% above the Bank of England base rate, from the day after the payment due date until payment is received in full.

Where applicable, statutory compensation may be claimed as follows:

  • £40 for debts up to £999.99;
  • £70 for debts between £1,000 and £9,999.99;
  • £100 for debts of £10,000 or more.

We may charge a £75 overdue-account administration fee to cover reasonable payment reminders, account management and debt recovery activity, together with reasonable recovery, legal, court and collection costs where permitted by law.

Where payment is overdue, TCM Contractors LTD may suspend works, services, deliveries, future attendance or further credit until all outstanding balances have been paid. We are not responsible for delays or losses caused by this suspension.

Where partial payment is received, we may apply it to the oldest outstanding invoice first.

The Customer must not withhold, deduct or set off payment due to TCM Contractors LTD unless agreed by us in writing or required by law.

18. Credit Limits

TCM Contractors LTD may set, amend, reduce or withdraw credit limits based on creditworthiness, account history and payment performance.

19. Workmanship Warranty

TCM Contractors LTD provides a 12-month workmanship warranty from the date of Practical Completion for defects arising directly from installation or workmanship carried out by us.

This warranty does not cover:

  • normal wear and tear;
  • misuse, accidental damage, neglect or lack of maintenance;
  • alterations or repairs carried out by others;
  • defects in existing structures or systems;
  • movement, settlement, damp, condensation or structural issues unrelated to our Works;
  • manufacturer faults or failures beyond our control.

Materials and products are covered by the manufacturer’s warranty only, where applicable, unless otherwise agreed in writing.

The Customer must notify us promptly of any alleged defect and give us a reasonable opportunity to inspect and rectify it.

20. Practical Completion

Works are deemed practically complete when the agreed scope has been substantially completed and the site has been left safe and reasonably tidy.

Minor snagging items shall not prevent Practical Completion.

21. Job Reports, Inspections and Photographs

TCM Contractors LTD may provide job reports summarising maintenance, repair, inspection or investigative works undertaken at the property.

Reports may include the date and time of attendance, work completed, materials used, observations, recommendations and photographs.

Job reports will normally be issued within 48 hours of completion, unless otherwise agreed or where additional information is required.

The report is a record of works undertaken and conditions observed at the time of attendance. Unless specifically agreed in writing, it is not a structural survey, specialist survey, technical assessment, design specification or full condition report.

Observations and recommendations are based solely on conditions visible and reasonably accessible at the time of inspection. We are not responsible for hidden defects, concealed damage or issues that could not reasonably have been identified.

Recommendations for further works are provided for information only and are not included within the completed job unless separately quoted and authorised.

The Customer must review the report promptly and notify TCM Contractors LTD of any factual discrepancy or concern in writing within 7 days of receipt.

Reports are prepared solely for the Customer to whom they are issued and may not be relied upon by a third party without our prior written consent.

22. Photographic Records and Data

TCM Contractors LTD may take photographs before, during and after the Works for documentation, quality control, reporting, insurance and evidential purposes.

We will use and retain personal information only as necessary to provide services, administer accounts, meet legal obligations and manage our business. Further information is set out in our Privacy Policy.

Photographs of a property will not be used for marketing unless the Customer has given consent, or identifying information has been removed.

23. Health and Safety

TCM Contractors LTD will comply with applicable UK health and safety legislation, including the Health and Safety at Work etc. Act 1974 and relevant construction regulations.

We may refuse, postpone or suspend work where site conditions are unsafe, hazardous or non-compliant with health and safety requirements.

The Customer must disclose known hazards, including asbestos, contaminated materials, sharps, dangerous substances, unsafe structures and restricted access conditions. Additional specialist costs arising from undisclosed hazards may be charged.

24. Insurance

TCM Contractors LTD maintains appropriate Public Liability and Employers’ Liability Insurance relevant to the services provided. Evidence of insurance can be supplied upon reasonable request.

25. Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Where the Customer is a consumer, nothing in these Terms affects statutory consumer rights.

Subject to the above, TCM Contractors LTD’s liability for claims relating to the relevant Works shall not exceed the total value paid or payable for those specific Works.

TCM Contractors LTD shall not be liable for indirect, incidental or consequential losses, including loss of income, loss of rent, loss of profit, business interruption, loss of opportunity or losses arising from pre-existing conditions.

26. Force Majeure

Neither party is liable for failure or delay in performing its obligations where this is caused by circumstances beyond reasonable control, including severe weather, labour shortages, supply-chain disruption, industrial action, utility failures, government restrictions or other force majeure events.

27. Complaints and Dispute Resolution

Any complaint relating to works, service, reports or communication should be sent to info@tcmcontractors.co.uk with the relevant quote number, invoice number, purchase order number and property address.

Any accounts-related complaint should be sent to accounts@tcmcontractors.co.uk.

Both parties will seek to resolve disputes amicably before commencing legal action. Where appropriate, the parties may consider mediation.

28. Purchase Order Terms for Service Providers

Where TCM Contractors LTD issues a Purchase Order, the supplier, subcontractor or service provider (“Service Provider”) agrees to the following terms.

Acceptance

The Purchase Order becomes binding when accepted in writing or when the Service Provider begins the services.

Scope and Variations

The Service Provider must carry out the services, specifications, drawings and instructions included within the Purchase Order.

No additional work, variation or charge is valid unless authorised in writing by TCM Contractors LTD before the work is undertaken.

The total price must not exceed the amount stated in the Purchase Order unless agreed in writing.

Delivery, Inspection and Quality

Time is of the essence. The Service Provider must complete the services in accordance with agreed dates, programmes and instructions.

All services are subject to inspection by TCM Contractors LTD. Unsatisfactory or defective work may be rejected, and the Service Provider may be required to rectify or re-perform it at no additional cost.

The Service Provider warrants that all services will be carried out professionally, in accordance with industry best practice and in compliance with all specifications and instructions.

Payment

Unless otherwise agreed in writing, payment will be made within 30 days from the later of receipt of a valid invoice or satisfactory completion of the services.

Invoices must quote the relevant Purchase Order number.

Health and Safety, Insurance and Compliance

The Service Provider must comply with all applicable UK laws, health and safety legislation, site rules, RAMS requirements and instructions issued by TCM Contractors LTD.

The Service Provider must maintain adequate Public Liability and Employers’ Liability Insurance, where applicable, and provide proof upon request.

Subcontracting

The Service Provider must not subcontract, assign or transfer any part of the services without prior written consent from TCM Contractors LTD.

Indemnity

The Service Provider shall indemnify TCM Contractors LTD against losses, damages, liabilities, claims or expenses arising from its negligence, breach of contract, injury to persons, property damage or infringement of intellectual property rights.

Confidentiality and Non-Circumvention

All information provided by TCM Contractors LTD in connection with a Purchase Order must be treated as confidential.

Without prior written consent, the Service Provider must not directly or indirectly solicit, approach or undertake work for a client, customer or contact introduced by TCM Contractors LTD in connection with the Purchase Order.

This restriction applies during the works and for 12 months following completion.

Termination

TCM Contractors LTD may terminate a Purchase Order immediately where the Service Provider materially breaches these Terms, fails to perform services correctly, creates a health and safety risk or fails to meet agreed requirements.

29. Entire Agreement, Severability and Amendments

These Terms apply to all quotations, agreements and Works carried out by TCM Contractors LTD unless expressly replaced by a written agreement signed by an authorised representative of the Company.

Any amendment, variation or additional term proposed by the Customer is not binding unless confirmed in writing by TCM Contractors LTD.

If any provision is found invalid, unlawful or unenforceable, the remaining provisions remain in full force.

30.RAMS Administration Charge

For any job with a total value below £500.00 + VAT that requires the preparation, review, submission or amendment of Risk Assessments and Method Statements (“RAMS”), a £50.00 + VAT RAMS administration charge will apply.

This charge covers the administrative time required to prepare and manage the RAMS documentation and will be added to the quotation or invoice.

31. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.

32. Changes to These Terms

TCM Contractors LTD may amend these Terms and Conditions from time to time. The version published on this website at the time of instruction will apply, unless otherwise agreed in writing.
